The First Step: Choosing Your Structure<\/strong><\/h3>\n\n\n\n<p class=\"has-ast-global-color-3-color has-text-color has-link-color wp-elements-c8df765697d2a4e99ec3ab8c240f050a\">Entering the United Kingdom property market is exciting, but the first key decision every new investor faces is <strong>what structure you\u2019ll use to buy and hold the property<\/strong> \u2014 personally, through a UK Limited company, or through your existing Dutch holding company.<\/p>\n\n\n\n<p class=\"has-ast-global-color-3-color has-text-color has-link-color wp-elements-322654f8dbab1f4f861cce24cd11eb30\">For Dutch investors, this choice affects both the <strong>UK tax position<\/strong> and the <strong>Dutch tax treatment<\/strong>.<br>Making this decision early can save time, tax, and legal work later.<\/p>\n\n\n\n<hr class=\"wp-block-separator has-alpha-channel-opacity\"\/>\n\n\n\n<h3 class=\"wp-block-heading\"><strong>2. How the Netherlands Treats Personal Ownership<\/strong><\/h3>\n\n\n\n<p class=\"has-ast-global-color-3-color has-text-color has-link-color wp-elements-53d2b333dd9cec72c8e35ff89a0f370e\">The Netherlands sees your UK property as a <strong>foreign investment<\/strong> in <strong>Box 3 (savings and investments)<\/strong>.<br>You do not pay Dutch Income Tax on the rent itself, but you pay a <strong>wealth tax<\/strong> based on the property\u2019s net value (market value minus mortgage).<br>The <strong>double-tax treaty between the Netherlands and the UK<\/strong> prevents double taxation, so you receive credit for UK tax already paid.<\/p>\n\n\n\n<hr class=\"wp-block-separator has-alpha-channel-opacity\"\/>\n\n\n\n<h3 class=\"wp-block-heading\"><strong>4. Buying Through a UK Limited Company (SPV)<\/strong><\/h3>\n\n\n\n<p class=\"has-ast-global-color-3-color has-text-color has-link-color wp-elements-16fd0f0c87c2b59a35bd58f502014784\">Some investors prefer to buy through a <strong>UK Limited Company<\/strong>, often called a <strong>Special Purpose Vehicle (SPV)<\/strong>.<br><br>The company becomes the legal owner of the property, and you own the company\u2019s shares.<\/p>\n\n\n\n<h4 class=\"wp-block-heading\"><strong><em>In the United Kingdom<\/em><\/strong><\/h4>\n\n\n\n<p class=\"has-ast-global-color-3-color has-text-color has-link-color wp-elements-0c6a8166bc9aed819b21f1444bc2e853\">The company pays <strong>Corporation Tax<\/strong> on its profit after deducting all allowable business expenses, including mortgage interest, refurbishment costs, and professional fees.<\/p>\n\n\n\n<p class=\"has-ast-global-color-3-color has-text-color has-link-color wp-elements-c385273166568c6d23893c00be7a9bd2\">Since April 2023, the UK uses a <strong>two-tier system<\/strong> met <strong>marginal relief<\/strong>:<\/p>\n\n\n\n<p class=\"has-ast-global-color-3-color has-text-color has-link-color wp-elements-9bd5fba12cfa10528a4ba7d3718a1bf2\">\u00b7 &nbsp; <strong>19 percent<\/strong> for profits up to \u00a350,000 (the small-profits rate),<\/p>\n\n\n\n<p class=\"has-ast-global-color-3-color has-text-color has-link-color wp-elements-b56fae6f40b5fea01f184532d934e9be\">\u00b7 &nbsp; <strong>Between \u00a350,001 and \u00a3250,000<\/strong>, the effective rate gradually increases from 19 to 25 percent through marginal relief.<\/p>\n\n\n\n<p class=\"has-ast-global-color-3-color has-text-color has-link-color wp-elements-effb8f7f3255b11aea0492134b20fbf5\">This means smaller property companies usually pay <strong>between 19 and 23 percent<\/strong> Corporation Tax in practice, depending on profit.<br>HMRC automatically applies marginal relief when the return is filed.<\/p>\n\n\n\n<p class=\"has-ast-global-color-3-color has-text-color has-link-color wp-elements-647da5a2eb437fde79cbb2d08115fb41\">Because the company is treated as a trading business, <strong>all mortgage interest and operating costs are fully deductible<\/strong> \u2014 one of the main advantages compared with personal ownership under Section 24.<\/p>\n\n\n\n<h4 class=\"wp-block-heading\"><strong><em>In the Netherlands<\/em><\/strong><\/h4>\n\n\n\n<p class=\"has-ast-global-color-3-color has-text-color has-link-color wp-elements-360d0a6cdd8e96a89f869a3717a744bd\">From a Dutch perspective, you do not own the property itself; you own <strong>shares in a foreign company<\/strong>.<br>How these shares are taxed depends on the size of your holding.<\/p>\n\n\n\n<p class=\"has-ast-global-color-3-color has-text-color has-link-color wp-elements-d903ed2f9358b77f0469adf9e9e37e9e\"><strong>Box 2 \u2013 Substantial Interest (more than 5 percent)<\/strong><strong><br><\/strong>If you hold more than 5 percent of the shares, this is a <strong>substantial interest (aanmerkelijk belang)<\/strong>.<\/p>\n\n\n\n<p class=\"has-ast-global-color-3-color has-text-color has-link-color wp-elements-581d8894910992f064784d929231ab9e\">\u00b7 &nbsp; The shares fall under <strong>Box 2<\/strong> of your Dutch tax return.<\/p>\n\n\n\n<p class=\"has-ast-global-color-3-color has-text-color has-link-color wp-elements-62540f1fb89af69ac4f1aeb9ac8be001\">\u00b7 &nbsp; You pay Dutch tax <strong>only when you receive dividends or sell the shares<\/strong>.<\/p>\n\n\n\n<p class=\"has-ast-global-color-3-color has-text-color has-link-color wp-elements-da1f8732e0baea5a01c6f7906b06a280\">\u00b7 &nbsp; Buying Through a Dutch Holding BV<\/strong><\/h3>\n\n\n\n<p class=\"has-ast-global-color-3-color has-text-color has-link-color wp-elements-ea5a8832206cfee677d6c4b68ed44402\">If you already have a <strong>Dutch Holding BV (Besloten Vennootschap)<\/strong>, you can place your UK Limited under that BV instead of owning it personally.<\/p>\n\n\n\n<h4 class=\"wp-block-heading\"><strong><em>How It Works<\/em><\/strong><\/h4>\n\n\n\n<p class=\"has-ast-global-color-3-color has-text-color has-link-color wp-elements-caad726bc7ff3c042b2663620b5241f9\">\u00b7 &nbsp; The Dutch Holding BV owns the shares in the UK Limited.<\/p>\n\n\n\n<p class=\"has-ast-global-color-3-color has-text-color has-link-color wp-elements-d21837a19e9a99c02868e04339c91966\">\u00b7 &nbsp; The UK Limited buys and manages the UK property.<\/p>\n\n\n\n<p class=\"has-ast-global-color-3-color has-text-color has-link-color wp-elements-1868628c19195bcf0dea0870955cc1e1\">\u00b7 &nbsp; The UK Limited pays <strong>Corporation Tax<\/strong> on its profit in the UK.<\/p>\n\n\n\n<p class=\"has-ast-global-color-3-color has-text-color has-link-color wp-elements-c1480a2a8c057e26c95916786264c2a1\">\u00b7 &nbsp; After tax, it can pay a <strong>dividend<\/strong> to the Dutch BV.<\/p>\n\n\n\n<h4 class=\"wp-block-heading\"><strong><em>Tax Position<\/em><\/strong><\/h4>\n\n\n\n<p class=\"has-ast-global-color-3-color has-text-color has-link-color wp-elements-404eac6eebb1fdfc0321b773747fe0ee\">\u00b7 &nbsp; The Dutch BV benefits from the <strong>participation exemption (deelnemingsvrijstelling)<\/strong> if it owns at least 5 percent and meets the substance requirements.<\/p>\n\n\n\n<p class=\"has-ast-global-color-3-color has-text-color has-link-color wp-elements-c32b4fc651b4c3e80a8b8e4762bb8f99\">\u00b7 &nbsp; This means dividends from the UK Limited are usually <strong>tax-free<\/strong> in the Netherlands.<\/p>\n\n\n\n<p class=\"has-ast-global-color-3-color has-text-color has-link-color wp-elements-8892083294125ee2c23d14f5837a04dd\">\u00b7 &nbsp; The Dutch BV pays Dutch tax only when it distributes dividends to you personally (<strong>Box 2 \u2013 26.9 percent<\/strong>).<\/p>\n\n\n\n<h4 class=\"wp-block-heading\"><strong><em>Points to Watch<\/em><\/strong><\/h4>\n\n\n\n<p class=\"has-ast-global-color-3-color has-text-color has-link-color wp-elements-08fd2af1801efca6ce05d0caa1776cc2\">\u00b7 &nbsp; The Dutch tax authority will look at <strong>management and control<\/strong>.<br>If the UK Limited is effectively managed from the Netherlands, it could become Dutch tax resident.<\/p>\n\n\n\n<p class=\"has-ast-global-color-3-color has-text-color has-link-color wp-elements-2c0a6f48834638eff4069cdc72d71349\">\u00b7 &nbsp; The structure adds administration: both entities must file accounts and comply with their national regulations.<\/p>\n\n\n\n<p class=\"has-ast-global-color-3-color has-text-color has-link-color wp-elements-2860a605bbb25ecb800019942db42a67\">\u00b7 &nbsp; The UK-NL tax treaty prevents double taxation, but proper documentation is essential.<\/p>\n\n\n\n<hr class=\"wp-block-separator has-alpha-channel-opacity\"\/>\n\n\n\n<h3 class=\"wp-block-heading\"><strong>6.
